Oversteer Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the services provided by Oversteer (“Company,” “we,” “us,” or “our”), including our browser automation platform, APIs, and related services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

2. Description of Services

Oversteer provides browser automation services that enable customers to automate web workflows, extract data from websites, and convert web interfaces into APIs through natural language prompts and automated browser agents.

3. Account Registration and Security

3.1. You must provide accurate and complete information when creating an account.

3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use the Services to:

4.1. Violate any applicable laws or regulations;

4.2. Engage in any activity that interferes with or disrupts the Services or servers and networks connected to the Services;

4.3. Attempt to gain unauthorized access to any portion of the Services or any other systems or networks;

4.4. Use the Services to collect or harvest personal data in violation of applicable privacy laws;

4.5. Use the Services for any illegal, fraudulent, or malicious purposes.

5. Customer Credentials and Authentication

5.1. Our Services may require you to provide credentials (such as usernames, passwords, or API keys) to access third-party websites on your behalf.

5.2. We do not store your third-party credentials in our databases. Credentials are used only in real-time to perform the requested automation tasks and are not persisted or transmitted to our backend systems.

5.3. Your Instructions, Your Responsibility. You are solely responsible for the instructions, prompts, and tasks you provide to our automation agents. Any actions performed by our agents on third-party websites are performed at your direction and on your behalf. While we implement guardrails and safety measures to prevent misuse, you acknowledge that you are responsible for ensuring your use of the Services is appropriate for your intended purposes.

6. Our Security Commitments

6.1. Credential Security. We treat your third-party credentials with the utmost care. Credentials you provide are used only in real-time to perform requested automation tasks and are never written to our databases, logged, or persisted in any form.

6.2. No Credential Storage. We do not store, cache, or retain your third-party credentials (such as usernames, passwords, API keys, or authentication tokens) in our databases or any persistent storage systems.

6.3. No Credential Transmission. Your third-party credentials are never transmitted to our backend servers, shared with Oversteer employees, or accessible to any party other than the automated browser session performing your requested task.

6.4. Infrastructure Security. We implement industry-standard security measures to protect our systems and your data, including encryption in transit and at rest, access controls, and regular security assessments.

6.5. Confidentiality. All customer data, credentials, and information processed through our Services are treated as strictly confidential. We maintain administrative, technical, and physical safeguards designed to protect against unauthorized access, disclosure, or loss.

6.6. Breach Notification. In the event of a security incident that affects your data, we will notify you promptly in accordance with applicable law.

7. Data Handling and Privacy

7.1. Your Data Belongs to You. Any data extracted or processed through our Services on your behalf remains your property.

7.2. We Do Not Sell Your Data. We will never sell, rent, lease, or otherwise commercially exploit any data extracted or processed through our Services.

8. Customer Responsibilities

8.1. You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations, including data protection and privacy laws.

8.2. You agree to use the Services only for lawful purposes and in accordance with these Terms.

9. Intellectual Property

9.1. The Services, including all software, algorithms, designs, and documentation, are owned by Oversteer and are protected by intellectual property laws.

9.2. Subject to your payment of applicable subscription fees and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription period solely for your internal business purposes.

9.3. You retain all rights to your data and any content you provide to us.

9.4. Upon termination or expiration of your subscription, your license to use the Services immediately terminates.

10. Confidentiality

10.1. Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential.

10.2. Confidential information shall not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party; or (d) is rightfully obtained from a third party without restriction.

11. Disclaimers

11.1. While we employ industry-leading browser automation technology, advanced anti-detection measures, and continuously invest in improving our platform's capabilities and reliability, the Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2. We do not guarantee that the Services will be uninterrupted, error-free, or that any defects will be corrected.

11.3. We are not responsible for the accuracy, reliability, or availability of any third-party websites you access through our Services.

11.4. We do not guarantee that our Services will be able to access any particular website, as website operators may implement measures to prevent automated access.

12. Limitation of Liability

12.1. To the maximum extent permitted by law, Oversteer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

12.2. Our total liability for any claims arising out of or related to these Terms or the Services shall not exceed the amounts paid by you to Oversteer in the twelve (12) months preceding the claim.

12.3. The limitations in this section apply regardless of the theory of liability, whether based on warranty, contract, statute, tort (including negligence), or otherwise, and regardless of whether Oversteer has been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless Oversteer and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) the instructions, prompts, or tasks you provide to our automation agents; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) your violation of any applicable laws.

14. Term and Termination

14.1. These Terms are effective until terminated by either party.

14.2. Your subscription will automatically renew at the end of each billing period unless you cancel prior to the renewal date.

14.3. You may terminate your account at any time by contacting us.

14.4. We may suspend or terminate your access to the Services immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion.

14.5. Upon termination, your right to use the Services will immediately cease, and we may delete your account and associated data.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website or by other means. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

16.1. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

16.2. Any disputes arising out of or related to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

17. General Provisions

17.1. Entire Agreement. These Terms constitute the entire agreement between you and Oversteer regarding the Services and supersede all prior agreements and understandings.

17.2. Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17.3. Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4. Assignment. You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
